Terms of Sale

1. Purpose

These general terms of sale (GTS) govern the sale of services offered by Amelys Ltd (hereinafter "Okaveny") on the okaveny.com website, including:

  • The sale of PDF protection credits (steganographic watermarking)
  • Publisher subscriptions (monthly credit packages)
  • One-off credit top-ups

2. Definitions

  • Credit: a unit corresponding to the protection of one PDF file (watermarking + secure distribution)
  • Publisher: a publishing professional with an Okaveny account
  • Author: an indirect author linked to a publisher, or a direct author with their own account
  • Wallet: the publisher's or author's prepaid credit account
  • Protection: the set of treatments applied to the file, including invisible marking, allowing each copy to be linked to its recipient

3. Pricing and payments

Prices are quoted in euros (EUR) excluding tax.

Accepted payment methods are:

  • Credit card: via Stripe or Lemon Squeezy, depending on your country
  • Bank transfer: via Wise (reference OKA-EDT or OKA-AUT required)

VAT. For orders paid through Lemon Squeezy, Lemon Squeezy acts as merchant of record: VAT is applied at the rate in force in the buyer’s country and appears on the invoice it issues. For other payment methods, the applicable VAT rate is displayed at the time of the order, before confirmation. VAT-registered businesses in the EU may fall under the reverse charge mechanism, on provision of a valid EU VAT number.

Credits are added to the wallet upon receipt of payment. Bank transfers are credited after banking confirmation (1–3 business days).

4. Subscriptions

Monthly subscriptions provide a volume of credits renewed each month. In the event of overuse, additional credits are charged at the current plan rate. The subscription may be cancelled at any time; unused credits remain available until their expiry date.

5. Credits and expiry

  • Purchased credits have a validity period of 12 months from the date of purchase
  • Credits are consumed in order of expiry (FIFO)
  • Promotional credits follow the same expiry rules
  • Expired credits are neither refunded nor carried over

6. Use of the service

The publisher agrees to use the PDF protection service in compliance with applicable law. Okaveny reserves the right to suspend an account in the event of fraudulent or abusive use.

The fallback mechanism allows an indirect author to cover the protection cost if the publisher's wallet is insufficient (subject to the publisher's opt-in).

7. Ownership and confidentiality

Uploaded PDF files remain the property of the publisher. Okaveny does not redistribute them and retains them only for the time necessary to process the protection. Protected files are stored securely on Cloudflare R2 and distributed via single-use links.

8. Right of withdrawal

In accordance with applicable legislation, professionals (B2B) do not benefit from the 14-day right of withdrawal. Credits purchased and not consumed are non-refundable unless expressly agreed by Amelys Ltd.

9. Warranty and liability

Okaveny warrants that the steganographic watermarking service is applied in accordance with industry standards. In the event of a proven technical failure of the watermark, Okaveny undertakes to re-protect the affected files without consuming additional credits.

The liability of Amelys Ltd is limited to the amount of services invoiced over the preceding 12 months.

10. Termination

The publisher may terminate their account at any time via the Studio or by email to [email protected]. Data is deleted within 30 days unless there is a legal obligation to retain it.

11. Amendments

Amelys Ltd reserves the right to amend these Terms of Sale. Amendments will be notified by email to publishers at least 30 days before they take effect. Continued use of the service after that date constitutes acceptance of the new terms.

12. Governing law and jurisdiction

These Terms of Sale are governed by English law. Any dispute shall be subject to the exclusive jurisdiction of the courts of London, subject to any mandatory consumer protection provisions applicable in the client's country of residence.
